This End User License Agreement (“EULA”) is a legally binding agreement between you and Holistic Business Consulting, LLC, a Florida limited liability company, and its affiliates and brands, including InsurCore and Epic Conversions (collectively, “HBC,” “we,” “us” or “our”). It governs your use of the InsurCore software, including our web applications and client portals, our desktop applications, our mobile applications, and any connector, agent, service or utility we provide for installation on your computers or servers (such as the SQL Connector and backup agent), together with all updates and documentation (the “Software”).
By clicking “I Agree,” checking an acceptance box, or installing, accessing or using the Software, you agree to this EULA, our Terms of Service and our Privacy Policy, each of which is incorporated into this EULA by reference. The Terms of Service contain a binding arbitration agreement, a class action and jury trial waiver, disclaimers of warranties and limitations of liability that apply to the Software. If you are accepting on behalf of an organization, you represent that you have authority to bind it, and “you” includes that organization. If you do not agree, do not install, access or use the Software.
If your organization has signed a Master Services Agreement or Order with HBC, that agreement controls over this EULA to the extent of any conflict.
1. License Grant
Subject to your continuing compliance with this EULA and payment of all applicable fees, HBC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license, during the term of your subscription or engagement, to: (a) access and use the hosted Software; and (b) install and run the copies of any downloadable Software that HBC provides to you, on computers and devices that you own or control, in each case solely for your organization’s internal business purposes and in accordance with the documentation and any limits in your Order.
2. License Restrictions
You must not, and must not permit anyone else to:
- copy, modify, adapt, translate or create derivative works of the Software, except for copies of downloadable Software reasonably needed for installation and backup;
- reverse engineer, decompile, disassemble or otherwise attempt to derive the source code, algorithms, mapping logic, prompts or structure of the Software, except to the limited extent applicable law expressly permits despite this restriction;
- sell, resell, rent, lease, lend, sublicense, distribute, host or otherwise make the Software available to any third party, or use it to provide services to third parties (such as a service bureau or time-sharing arrangement);
- share login credentials, or allow anyone other than your authorized users to access the Software;
- circumvent, disable or interfere with any security, licensing, usage-limit or access-control feature of the Software;
- remove, alter or obscure any proprietary notice;
- use the Software or its output to build, train or improve a competing product or service;
- use the Software in violation of any law, or of the rights of any person; or
- use the Software in any manner prohibited by the Acceptable Use section of our Terms of Service.
3. Installed Software (Connectors, Agents and Desktop Applications)
- Your systems, your responsibility. You are solely responsible for deciding where to install downloadable Software, for the security, configuration, maintenance and backup of the computers, servers, databases and networks on which it runs, and for complying with the license terms of any third-party software on those systems (including your agency management system and database software).
- Access you grant. Connectors and agents act on the instructions, credentials and permissions that you configure. You are responsible for granting only the access required, for the actions taken using that access, and for removing the Software and revoking credentials when you no longer need them.
- Technical information. Installed Software communicates with our servers and reports technical information such as computer name, operating system and software version, job status and error logs, which we use to operate, secure and support the Software, as described in our Privacy Policy.
- Updates. HBC may provide updates, patches and new versions, which may be installed automatically. Updates are part of the Software and governed by this EULA. HBC may stop supporting older versions, and some features may not work unless you install the latest version.
- Backup Software. Any backup features are provided as a convenience and do not relieve you of your own obligation to maintain independent, verified backups of your data. HBC does not guarantee that any backup will be complete, current or restorable.
4. Mobile Applications
If you obtain a mobile application from the Apple App Store or Google Play (each, an “App Store”), the following also applies:
- This EULA is between you and HBC only, not the App Store provider. HBC, not the App Store provider, is solely responsible for the mobile application and its content.
- Your license to use the mobile application is limited to use on devices that you own or control, as permitted by the App Store’s usage rules.
- The App Store provider has no obligation to provide maintenance or support for the mobile application.
- To the maximum extent permitted by law, the App Store provider has no warranty obligation with respect to the mobile application. If the application fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the application; Apple has no other warranty obligation.
- The App Store provider is not responsible for addressing any claims by you or any third party relating to the mobile application, including product liability claims, claims that it fails to conform to any legal or regulatory requirement, or claims under consumer protection, privacy or similar laws.
- The App Store provider is not responsible for the investigation, defense, settlement or discharge of any claim that the mobile application infringes a third party’s intellectual property rights.
- You represent that you are not located in a country subject to a U.S. government embargo or designated as a “terrorist supporting” country, and that you are not on any U.S. government list of prohibited or restricted parties.
- You must comply with any applicable third-party terms (such as your wireless carrier agreement) when using the mobile application.
- Apple and its subsidiaries are third-party beneficiaries of this EULA with respect to the mobile application and may enforce it against you.
Questions or complaints about the mobile application should be directed to HBC using the contact information below.
5. Ownership
The Software is licensed, not sold. HBC and its licensors own all right, title and interest in and to the Software, including all copies, updates, improvements and derivative works, and all related intellectual property rights. All rights not expressly granted in this EULA are reserved. Your data remains yours, as described in our Terms of Service.
6. Third-Party and Open Source Components
The Software may include or rely on third-party software, including open source software, and on third-party services. Open source components are licensed under their own license terms, which control to the extent they conflict with this EULA, solely with respect to those components. Third-party services are governed by their providers’ terms, and HBC is not responsible for them.
7. Artificial Intelligence
Some features of the Software use artificial intelligence. AI output may be inaccurate or incomplete, must be reviewed by a qualified person before it is relied upon, and is provided without warranty, as described in our Terms of Service.
8. Term and Termination
This EULA remains in effect until terminated. Your license ends automatically, without notice, when your subscription or engagement ends or if you breach this EULA. HBC may suspend or terminate your license as described in our Terms of Service. When your license ends, you must stop using the Software and uninstall and delete all copies of downloadable Software. Sections 2, 3, 5 and 9 through 12 survive termination.
9. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED “AS IS,” “AS AVAILABLE” AND “WITH ALL FAULTS,” WITHOUT WARRANTY OF ANY KIND. HBC DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND QUIET ENJOYMENT, AND ANY WARRANTY THAT THE SOFTWARE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, WILL BE COMPATIBLE WITH YOUR SYSTEMS, OR WILL NOT CAUSE LOSS OR CORRUPTION OF DATA.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HBC AND ITS AFFILIATES, LICENSORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, COMMISSIONS, BUSINESS OR GOODWILL, OR LOSS, CORRUPTION OR INACCURACY OF DATA, ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS EULA, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY. HBC’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE AND THIS EULA IS SUBJECT TO THE LIMITS IN OUR TERMS OF SERVICE (OR, IF YOU HAVE SIGNED A MASTER SERVICES AGREEMENT, THE LIMITS IN THAT AGREEMENT).
11. Indemnification
You will defend, indemnify and hold harmless HBC and its affiliates, members, managers, officers, employees, contractors and agents from and against any claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Software, your systems, the data you process with the Software, or your breach of this EULA.
12. General
- Governing law and disputes. This EULA is governed by the laws of the State of Florida, without regard to conflict-of-laws rules. Disputes are resolved as set out in the Dispute Resolution section of our Terms of Service, including binding arbitration and the class action and jury trial waivers.
- Export. You must comply with all applicable U.S. and foreign export control and sanctions laws in using the Software.
- U.S. government end users. The Software is “commercial computer software” and related documentation provided with only the rights granted to all other end users under this EULA, in accordance with 48 C.F.R. 12.212 and 48 C.F.R. 227.7202, as applicable.
- Changes. HBC may update this EULA. We will post the updated version with a new “Last updated” date and may require you to accept it before continuing to use the Software. Continued use after an update takes effect constitutes acceptance.
- Electronic acceptance. Your electronic acceptance is legally binding, and our records of it (including the version accepted, date, time, account, IP address and user agent) are evidence of your agreement.
- Assignment, severability and waiver. You may not assign this EULA without HBC’s written consent; HBC may assign it freely. If any provision is unenforceable, it will be enforced to the maximum extent permissible and the rest of this EULA remains in effect. Failure to enforce a provision is not a waiver.
- Entire agreement. This EULA, together with the Terms of Service, Privacy Policy and any Master Services Agreement or Order, is the entire agreement regarding the Software.
